EULA
Last updated: 26.08.2026
Please read this before installing VideoManager. By installing or using it, you agree to these terms. If you do not agree, do not install it.
1. Who this is with
This agreement is between you and SM Sunshine Media Ltd, registered in England and Wales under company number 13895466, registered office Suite A Bank House, 81 Judes Road, Egham, Surrey, TW20 0DF, United Kingdom (“we”, “us”).
“Software” means the VideoManager application and any updates we make available for it.
2. Who can use it
You must be 18 or over and able to enter into a binding contract. You must also own the computer you install it on, or have the owner's permission.
3. Your licence
The Software is free. We license it to you; we do not sell it. You get a personal, non-exclusive, non-transferable licence to install and use it on computers you own or control, for your own purposes or the internal purposes of the organisation you work for.
You may not use the Software to run a service for other people — for example as part of a paid downloading service — without our written agreement.
We keep all rights we have not expressly given you.
4. What you must not do
You must not:
- a. sell, rent, sublicense, or distribute the Software, or make it available to others;
- b. remove or alter any copyright or trademark notice in it;
- c. modify the Software or create anything derived from it;
- d. reverse engineer, decompile, or disassemble it, except where the law expressly allows you to despite this restriction — including sections 50B and 50BA of the Copyright, Designs and Patents Act 1988 in the UK, and Articles 5 and 6 of Directive 2009/24/EC in the EU;
- e. interfere with how the Software works or get around any security measure in it.
5. Using it lawfully — please read this section
This is the most important part of this agreement.
VideoManager is a general-purpose tool. Like a web browser or a screen recorder, it can be used lawfully or unlawfully, and that is your decision. We provide the tool. You are responsible for what you do with it and for the content you handle.
5.1 You may only use the Software with content you own, content you created, content in the public domain, content licensed in a way that permits what you are doing, or content you have the rights holder's permission to handle in that way. If you are not sure you have that right, assume you do not.
5.2 You must not use the Software, or try to use it, to get around any encryption, digital rights management, access control, or other technical measure protecting a copyright work. This is unlawful in most countries, including under sections 296 and 296ZA to 296ZD of the Copyright, Designs and Patents Act 1988 in the UK, Article 6 of Directive 2001/29/EC across the EU, and section 1201 of the Digital Millennium Copyright Act in the US. The Software is not designed or intended to do this, and attempting it breaches this agreement.
5.3 Users in the United Kingdom should know that there is no general private copying exception in UK law. The exception formerly at section 28B of the Copyright, Designs and Patents Act 1988 was quashed by the High Court in 2015. Making a personal copy of a work you have bought is therefore not automatically permitted in the UK, even though similar exceptions do exist in several EU countries. The law where you live may differ, and it is your responsibility to know what it allows.
5.4 Many online services prohibit downloading their content in their own terms of service. Those terms apply to you directly as a user of that service, separately from copyright law. Nothing in this agreement gives you permission to breach them, and we make no promise that any particular use of the Software is compatible with them.
5.5 You are responsible for any claim or loss arising from your use of the Software in breach of this section. We may end your licence if we reasonably believe you are breaching it. Nothing here makes you liable for anything you would not otherwise be liable for, and nothing here affects your rights as a consumer.
6. Third-party services and content
VideoManager is independent software. It is not affiliated with, authorised by, or endorsed by any video platform, streaming service, or social network. All trademarks belong to their owners and are used only to identify the services concerned.
The Software may depend on third-party services that we do not control. They can change or stop working with the Software at any time, and we are not responsible for their content or availability.
7. Privacy
How we handle personal data is set out in our Privacy Policy.
8. Updates
We may release updates, and the Software may install them automatically. Updates can add, change, or remove features.
9. What we promise, and what we do not
We will provide the Software with reasonable care and skill, and we confirm we have the right to license it to you.
Beyond that, the Software is free and provided “as is”. We do not promise it will be uninterrupted or error-free, that it will work with your computer or with any particular website, or that it will keep working with any service it works with today.
Your legal rights are not affected. If you are a consumer in the UK, the Consumer Rights Act 2015 gives you rights about digital content — that it be of satisfactory quality, fit for purpose, and as described — and section 47 of that Act stops us excluding them. If you are a consumer in the EU, Directive (EU) 2019/770 gives you equivalent rights. We do not exclude liability for death or personal injury caused by our negligence, for fraud, or for anything else the law does not let us exclude.
10. Our liability
Subject to the paragraph above, we are not liable for lost profits, lost business, or losses that were not reasonably foreseeable when you installed the Software, and we are not liable for loss arising from your breach of section 5 or from content you handle with the Software.
None of this affects your statutory rights as a consumer.
11. Ending your licence
You can stop at any time by uninstalling the Software.
We may end your licence if you materially breach this agreement — particularly section 5 — and do not put it right within 14 days of us asking, if the law requires us to, or if we discontinue the Software, in which case we will give 30 days' notice on our website where we can.
When your licence ends you must uninstall the Software. Files already on your computer are yours and are unaffected. Sections 5, 9, 10, and 12 continue to apply.
12. Changes and other terms
Changes. We may change these terms where there is a good reason — a change in the law, a change in how the Software works, or to fix an error. We will publish the new version here and, where a change matters to you, give at least 30 days' notice. If you do not accept a change, uninstall the Software before it takes effect. Changes never apply retrospectively.
Governing law. This agreement is governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer, this does not deprive you of the mandatory protections of the law where you live, and if you live in the EU you may also bring proceedings in your own courts.
If part of this fails. If any part of this agreement turns out to be unenforceable, the rest still applies.
Other. We may transfer our rights under this agreement to another company, as long as your rights are not reduced. You may not transfer yours. If we do not enforce something straight away, we can still enforce it later. This agreement is in English; translations are for convenience only.
